1) Scope of Application

1.1 These General Terms and Conditions (hereinafter referred to as “Terms”) of Kiddielah (hereinafter referred to as the “Seller”) shall apply to all contracts concluded between a consumer or business customer (hereinafter referred to as the “Customer”) and the Seller relating to all goods presented in the Seller’s online shop. The inclusion of the Customer’s own terms and conditions is hereby excluded unless otherwise agreed.

1.2 These Terms shall also apply accordingly to contracts for the delivery of vouchers unless otherwise agreed.

1.3 A consumer within the meaning of these Terms is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.

1.4 A business customer within the meaning of these Terms is a natural or legal person or a partnership with legal capacity acting in the exercise of its commercial or independent professional activity when concluding a legal transaction.


2) Conclusion of Contract

2.1 The product descriptions contained in the Seller’s online shop do not constitute binding offers by the Seller but serve for the submission of a binding offer by the Customer.

2.2 The Customer may submit the offer via the integrated online order form. After placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding contractual offer regarding the goods contained in the shopping cart by clicking the button concluding the order process.

2.3 The Seller may accept the Customer’s offer within five days:

  • by sending the Customer a written order confirmation or an order confirmation in text form (e.g. e-mail), whereby receipt by the Customer is decisive; or

  • by delivering the ordered goods to the Customer, whereby receipt of the goods by the Customer is decisive; or

  • by requesting payment from the Customer after the order has been placed.

If several of the aforementioned alternatives apply, the contract shall be concluded at the time when one of the aforementioned alternatives first occurs.

2.4 If a payment method offered via PayPal is selected, payment processing shall be carried out by PayPal (Europe) S.à r.l. et Cie, S.C.A., Luxembourg, subject to PayPal’s terms and conditions.

2.5 The contract text shall be stored by the Seller after conclusion of the contract and transmitted to the Customer in text form (e.g. e-mail).

2.6 Before placing a binding order, the Customer may identify possible input errors by carefully reading the information displayed on the screen and may correct their entries before submitting the order.

2.7 The language available for the conclusion of the contract is German.

2.8 Order processing and communication generally take place via e-mail and automated order processing. The Customer must ensure that the e-mail address provided is correct and capable of receiving e-mails from the Seller.


3) Right of Withdrawal

3.1 Consumers are generally entitled to a right of withdrawal.

3.2 Detailed information regarding the right of withdrawal can be found in the Seller’s cancellation policy.


4) Prices and Payment Conditions

4.1 Unless otherwise stated in the product description, the prices quoted are total prices including applicable VAT. Any additional delivery and shipping costs will be indicated separately.

4.2 The available payment methods will be communicated to the Customer in the Seller’s online shop.

4.3 If a payment method offered via “Shopify Payments” is selected, payment processing shall be carried out by Stripe Payments Europe Ltd., Dublin, Ireland.

4.4 If a payment method offered via Klarna is selected, payment processing shall be carried out by Klarna Bank AB (publ), Stockholm, Sweden.

5) Shipping and Delivery Conditions

5.1 Goods shall be delivered to the delivery address specified by the Customer within the delivery area specified by the Seller.

5.2 If delivery fails for reasons attributable to the Customer, the Customer shall bear the reasonable costs incurred.

5.3 Risk of accidental loss and accidental deterioration of the goods shall pass to the Customer upon delivery.

5.4 The Seller reserves the right to withdraw from the contract in the event of incorrect or improper self-supply.

5.5 Self-collection is not possible for logistical reasons.

5.6 Vouchers shall be provided to the Customer by e-mail.


6) Retention of Title

The Seller retains ownership of the delivered goods until full payment of the purchase price owed has been made.


7) Liability for Defects (Warranty)

Unless otherwise stated below, the statutory provisions regarding liability for defects shall apply.

7.1 If the Customer acts as a business customer:

  • the Seller shall have the choice of the type of subsequent performance;

  • the limitation period for defects in new goods shall be one year from delivery of the goods;

  • rights and claims due to defects in used goods are excluded.

7.2 The above limitations shall not apply:

  • to claims for damages and reimbursement of expenses;

  • in the event of fraudulent concealment of a defect;

  • for goods used for a building in accordance with their customary use and causing its defectiveness;

  • for any obligation to provide updates for digital products.

7.3 Statutory limitation periods for any statutory recourse claims shall remain unaffected.

7.4 Customers are requested to complain to the delivery service provider about obvious transport damage and inform the Seller accordingly.


8) Special Conditions for the Processing of Goods According to Customer Specifications

8.1 If the contract requires the Seller to process goods according to certain specifications of the Customer, the Customer shall provide all necessary content such as texts, images, or graphics and grant the Seller the required rights of use.

8.2 The Customer shall indemnify the Seller against claims by third parties arising from infringement of their rights through the contractual use of the Customer’s content.

8.3 The Seller reserves the right to reject processing orders if the content provided violates legal provisions or public morality.


9) Redemption of Promotional Vouchers

9.1 Promotional vouchers issued free of charge as part of advertising campaigns may only be redeemed in the Seller’s online shop during the specified period.

9.2 Promotional vouchers may only be redeemed by consumers.

9.3 Certain products may be excluded from voucher promotions.

9.4 Promotional vouchers can only be redeemed before completion of the order process.

9.5 Only one promotional voucher may be redeemed per order.

9.6 Any remaining balance of a promotional voucher will not be refunded.

9.7 Promotional vouchers are neither redeemable for cash nor interest-bearing.

9.8 Promotional vouchers are non-transferable.


10) Redemption of Gift Vouchers

10.1 Gift vouchers purchased via the Seller’s online shop may only be redeemed in the Seller’s online shop.

10.2 Gift vouchers remain valid until the end of the third year after purchase.

10.3 Gift vouchers can only be redeemed before completion of the order process.

10.4 Multiple gift vouchers may be redeemed in one order.

10.5 Gift vouchers cannot be used to purchase additional gift vouchers.

10.6 Remaining balances are neither paid out in cash nor interest-bearing.

10.7 Gift vouchers are transferable.


11) Applicable Law

All legal relationships between the parties shall be governed by the laws of Hong Kong, excluding the laws governing the international sale of movable goods.

For consumers, this choice of law shall apply only insofar as the protection granted is not withdrawn by mandatory provisions of the law of the country in which the consumer has their habitual residence.


12) Place of Jurisdiction

If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract shall be the registered office of the Seller in Hong Kong.

If the Customer is domiciled outside Hong Kong, the Seller’s registered office shall likewise be the exclusive place of jurisdiction if the contract or claims arising from the contract can be attributed to the Customer’s professional or commercial activity.
